These Terms & Conditions govern your use of the Heronwood website and your engagement with our services. Please read them carefully. By using this website or engaging our services, you agree to be bound by these terms.
1. Definitions
- "Heronwood", "we", "us", "our" — refers to the estate records organisation service operating under the name Heronwood, based at 95 Singharat Road, Si Phum, Muang, Chiang Mai 50200, Thailand.
- "You", "user", "client" — refers to any individual who visits this website or engages our services.
- "Services" — refers to the three organisational programmes offered by Heronwood: the Personal Inventory Session, the Family Conversation Series, and the Records Archive Programme.
- "Programme" — refers to a specific service purchased and engaged by you.
- "Printed Materials" — refers to the physical documents produced and provided by Heronwood as part of a Programme.
- "Agreement" — refers to these Terms & Conditions together with any written programme engagement confirmation.
2. Acceptance of These Terms
By using this website or engaging Heronwood's services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of another person, you represent that you have authority to bind that person to these terms.
3. Nature of Our Services
Heronwood provides document organisation and educational services only. Our programmes help you create inventories, structured archives, and informational summaries of household records. We are not solicitors, financial advisers, or healthcare professionals. Nothing we provide constitutes legal, financial, tax, or formal advisory services of any kind.
We signpost clients toward official and professional resources where matters fall outside our scope. We do not act as an intermediary, agent, or representative for any third party.
Our services are currently offered to clients in the Chiang Mai region of Thailand. Please contact us to discuss availability if you are located outside this area.
4. Your Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and truthful information when contacting us or during programme sessions
- Use this website and our services only for lawful purposes
- Not attempt to access, copy, or reproduce any part of this website for commercial purposes without permission
- Not engage us for any purpose that involves providing false or misleading information about your identity or circumstances
5. Intellectual Property
All content on this website — including text, design elements, and images — belongs to Heronwood or is used under licence. You may not reproduce, republish, or distribute any part of this website without our written consent.
Printed Materials produced during a Programme are prepared for your personal and household use. You may share them with family members and relevant professional advisers, but may not reproduce or distribute them commercially.
6. Payment Terms
All prices are stated in Thai Baht (฿) and are inclusive of any applicable taxes. Programme fees are confirmed in writing before sessions begin.
Payment is typically required in full before or at the commencement of sessions. We accept bank transfer and cash. Where a programme is delivered over multiple sessions, we will confirm payment terms in the programme engagement confirmation.
Cancellation and refund
If you cancel a programme before sessions begin, we will refund any advance payment in full. If you cancel after sessions have commenced, we will refund a proportionate amount reflecting the sessions not yet delivered, at our discretion. We reserve the right to cancel a programme if circumstances prevent delivery; in that case we will provide a full refund of any amounts paid.
7. Service Delivery and Scope
Each programme is delivered as described on our website and in the written engagement confirmation. We will make reasonable effort to deliver sessions and Printed Materials within the timelines indicated, but these may vary depending on the complexity of the household's records and session availability.
If you wish to change the scope of a programme after it has begun, please contact us and we will discuss what is possible. Additional scope may require an additional fee, which will be agreed in writing before any additional work begins.
8. Disclaimers
Our services are provided on an "as is" basis for organisational and educational purposes. We make no representation that the information in Printed Materials or shared in sessions will be sufficient for any particular legal, financial, or official purpose. You remain responsible for seeking appropriate professional advice for formal matters.
We do not warrant the accuracy or completeness of any information provided on this website. Website content is for general information only and may not reflect recent changes in law or practice.
9. Limitation of Liability
To the fullest extent permitted by Thai law, Heronwood's total liability to you in connection with our services will not exceed the amount you paid for the relevant Programme. We exclude liability for indirect, incidental, or consequential losses, including but not limited to loss of income, loss of opportunity, or losses arising from reliance on our Printed Materials for formal legal or financial purposes.
Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
10. Indemnification
You agree to indemnify and hold harmless Heronwood and its staff from any claims, losses, or expenses arising from your breach of these terms or your misuse of our services or Printed Materials.
11. Termination
Either party may end a programme engagement by giving written notice. If you end a programme after sessions have commenced, the cancellation and refund terms in section 6 apply. We may suspend or end an engagement if you act in breach of these terms. Clauses relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.
12. Governing Law and Disputes
These terms are governed by the laws of the Kingdom of Thailand. Any dispute arising from these terms or our services will first be addressed through good-faith discussion between the parties. If resolution is not reached within 30 days, disputes shall be referred to the competent courts of Chiang Mai Province, Thailand.
13. General Provisions
- Entire agreement — these terms, together with any written programme confirmation, constitute the entire agreement between you and Heronwood.
- Severability — if any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver — failure to enforce any provision does not constitute a waiver of that provision.
- Assignment — you may not assign your rights under these terms without our consent. We may assign ours in connection with a transfer of the business.
14. Changes to These Terms
We may update these terms from time to time. The current version will always be published on this page with the date of the most recent revision. Continued use of our website or services following an update constitutes acceptance of the revised terms.
